Is a virtual office legal?

Registration of a company under a virtual address is becoming an increasingly common trend, especially in the case of startups. In the case of facilities located in single rooms and providing only basic services, i.e. company registration and handling of its correspondence, problems may appear already at the registration stage.

A few years ago, the tax office refused to provide companies with a tax identification number (NIP), referring to the failure to indicate the number of a specific apartment in the building in the identification application and the failure to perform management functions at the registered address of the Company.

In 2014, the Supreme Administrative Court issued a judgment in the famous case II FSK 3549/13, through which it expressed its support for virtual offices and disciplined tax offices. It stated that they do not have the competence to control the suitability of the premises (real estate) provided as the taxpayer’s seat to perform management functions or conduct business activities there.

Nevertheless, there is still distrust among officials towards virtual offices. It is also justified because it is difficult to prove that in one room dedicated to receiving mail for a large number of entities, the company is actually able to work and conduct business.


Virtual address and registration for VAT

Entrepreneurs who do not have their own registered office face difficulties not only in obtaining a NIP number, but also in registering for VAT.

Tax officials are legally obliged to check the company before being entered in the register.

In a situation where the contractor indicates a place as the seat of the company that is inconsistent with the scale or type of its activity, or when the tax office contacting the virtual office cannot encounter the entrepreneur, there are justified doubts as to the credibility of the entity.

In this case, the Supreme Administrative Court complied with the officials, issuing the decision I FSK 1363/17. The court stated in it that the address made available to many companies for the purposes of registration in the National Court Register, where no activity is actually carried out, including the management board, cannot be considered the seat.

The course of the fiscal control
